English term

are not titled to said property

English to French Law/Patents Law: Contract(s) ALABAMA BILL OF SALE

"Seller warrants and represents that said goods are not titled to said property, full authority to sell and transfer the same and that said goods are being sold free and clear of all liens, adverse claims of nature and description."

Dans les exemples trouvés en ligne, la formulation est plutôt la suivante "Seller warrants to Buyer that Seller has good and marketable title to said property, full authority to sell and transfer [...]."

Merci.

I would be amazed if "said property" has not been referred to or defined at some point in this bill of sale
Daryo May 7, 2021:
If there's no mention of any "property" anywhere else, only of a vehicle being sold, then this must be some kind of typo or error.

Maybe it's just a plain error, as the very few ghits for "goods titled to" have nothing to do with selling vehicles.

Looks like the intended / right wording should be:

Seller has good and marketable title to said property

but this being a contract "correcting the original text" is not a good idea. I would check with the client.

"Alabama bill of sale
For value received, the undersigned of X (name and address),
hereby sells and transfers unto Y (name and address) and its successors and assigns forever, the following described goods:
description of the vehicle (make, model, vin number)
As is restoration project - Paid in full: yes" puis la phrase problématique
AllegroTrans May 7, 2021:
"said property"... means that SOMEWHERE in the prceding text it has been described in SOME sort of way. C'est ca qu'il nous faut.
Sara Bach (asker) May 7, 2021:
@AllegroTrans je vous ai mis tout le contexte dans la réponse précédente... je n'ai pas d'autres infos sur ce "property" qui n'est repris nulle part ailleurs (on parle seulement de "goods" cf réponse précédente)
AllegroTrans May 7, 2021:
Sara Bach (asker) May 7, 2021:
Il y a d'autres incohérences plus loin dans l'acte : "Seller further warrants that it shall defend, protect, indemnify and save harmless TO the buyer and its lawful successors and assigns THEM from any and all claim..."
Sara Bach (asker) May 7, 2021:
J'ai plutôt l'impression qu'il s'agit de la deuxième possiblité @Daryo.
Voici le contexte plus large :
"For value received, the undersigned of X (name and address),
hereby sells and transfers unto Y (name and address) and its successors and assigns forever, the following described goods:
description of the vehicle (make, model, vin number)
As is restoration project - Paid in full: yes
Seller warrants and represents that said goods are not titled to said property etc."
Daryo May 7, 2021:
As it is, and without knowing anything about the rest of the contract, this part:

"Seller warrants and represents that said goods are not titled to said property"

could be perfectly correct, depending on whether there is or not some "property" being previously mentioned in this contract, AND that "said property" being of such nature that "said goods" could reasonably be presumed to be "titled to" that "property".

In such a case it would make sense to mention explicitly that "said goods" are not attached to / part of the title to "said property".

The intended meaning being: "I the seller warrant that I have the right to sell these goods separately from the "said property".

BUT

it could also be that someone has assembled the text of this contract from "standard elements" taken from other contracts and not paying enough attention inserted a wrong one!!!

One way or another the idea of putting in a contract "I assure you that I'm selling stuff that's not mine" is a total non-starter ...

So, what's this "said property"? Assuming that there is any ...

Peer comment(s):

agree Daryo : That could make perfect sense, depending on this "said property" being defined somewhere else in the preceding text AND being of such nature that "said goods" could be "titled to it" (=included in the title to that property)
