Carrier and Client will be referred to collectively as the "Parties." Whereas, both Carrier and Client own and operate telecommunications facilities and desire to provide dedicated switched transport services to each other pursuant to the terms and conditions set forth in this Agreement.

Whereas, both Carrier and Client desire to purchase dedicated switched transport services from each other pursuant to the terms and conditions set forth in this Agreement. Now, therefore, in consideration of the foregoing and the mutual promises set forth below, the Parties agree as follows:

1. Service

1.1. Services: The Parties will, on a case-by-case non-exclusive basis, provide
telecommunications services and facilities to the other to route
international telecommunications traffic to various destinations around the
world ("Service")- The destinations offered by Carrier and Carrier will
be amended from time to time by either Party. After the amendment is
signed by both parties the Exhibits become an undividable and binding
part of this agreement. Although the Parties intent to provide the Service
upon request, there is no Service obligation.
