Es geht in diesem Vertragsanhang um die Zuerkennung von Incentive Units (Anreizeinheiten/Incentive-Einheiten?).
In linguee habe ich nachgesehen, dort gibt es halbwegs relevante Treffer, aber ich benötige weitere Unterstützung.

GRANT NOTICE OF INCENTIVE UNITS
1. Number of Incentive Units
Subject to this Award

50% will be “Time-Vesting Incentive Units” and
50% will be “Performance-Vesting Incentive Units”

***Vesting Schedule***
No amount will be paid in respect of an Incentive Unit unless it has become a Vested Incentive Unit prior to or in connection with a Liquidity Event.
Subject to Participant’s continued Service, Time-Vesting Incentive Units will vest 25% on the Initial Vesting Date (as defined below) and the remainder in 12 substantially equal quarterly installments over the following three years such that full vesting occurs on the third anniversary of the Initial Vesting Date.

The Plan
The purpose of the Z Incentive Unit Plan (the
“Plan”) is to provide bonus payments to certain individuals related to Z's (“Parent”) Y business in connection with the Sale of the Company
(as defined below), the Sale of Parent (as defined below) or a Qualified IPO (as defined
below), or other qualifying payment event as set forth in an Award Agreement, as
applicable.
