XXXX will make orders available to the Exclusive Distributor in a maximum of 30 days after reception of the orders in written from the Exclusive Distributor.
XXXX will have all necessary materials ready to provide the Exclusive Distributor with adequate support (samples, brochures, catalogues…) for the activities of distribution and marketing of the products in the territory.
XXXX guarantees the Exclusive Distributor that the products subject to this contract meet all sanitary conditions for their subsequent distribution.
Any damages caused by negligence or faulty handling by the Supplier or those directly or indirectly affiliated to the Supplier (except the Exclusive Distributor) will be covered by the Supplier.
Any damages caused by negligence or faulty handling by the Exclusive Distributor or those clients to whom it sells the products will be excluded.
SIXTH. - Discharge of the contract.
- XXXX will be able to discharge this contract in the specific case of breach over ±10% of the minimum amounts of sales by the Exclusive Distributor, as established in Annex II.
Likewise, in conformity with the figures established in Annex II, the Exclusive Distributor will also be able to discharge this contract in the case of XXXX breaching over ±10% of the minimum amount of sales demanded through orders by the Exclusive Distributor.
In order to discharge this contract for the above reasons, the party willing to terminate the contract will send notice in written to the other, in any documentary way, (…) MONTHS (__) before the end of each annual period under the duration of this contract.
Discharge in this case will not give any of the parties the right to annul, or deny the acceptance of those orders placed before the date of termination, which will continue to be ruled by what is stated herein until their total processing.
SEVENTH – Product rejection procedure.
7.1 Subject to clause 7.2, if any of the product or part of it is defective or in breach of XXXX warranties, the Exclusive Distributor will be entitled to:
a. Reject the Product (or part of it) and return the product to XXXX if the rejection is within the warranty period specified at clause 13b; and
b. XXXX will within 30 days of the rejection or the return of the product, replace and re-deliver to the Exclusive Distributor the same quantities of the rejected or returned product.
7.2 The Exclusive Distributor will notify XXXX as soon as reasonably practical if it suspects that any product or part of it is defective or is in breach of XXXX warranties. On receipt of such notice XXXX may request that the Exclusive Distributor takes any or all of the following steps at XXXX’s sole expense:
a. Quarantine the Product and ensure it is kept separate from all other products.
b. Package and send a sample of the product to a laboratory of XXXX choosing for independent testing and analysis;
7.3 If it is ascertained and confirmed by the parties that the product is rejected because:
a. The product does not comply with the manufacturing specification;
b. The product has not been manufactured in accordance with the process;
c. XXXX has been negligent; or
d. The product is contaminated due to XXXX failure or negligence to take reasonable actions or steps to prevent or avoid such contamination,
The total liability of XXXX for the rejected product will be to replace the affected part of the product or products and deliver the same quantities to the Exclusive Distributor at its own cost.
EIGHT. - Resolution in case of breach of contract.
a) Breach by the Exclusive Distributor:
In the case that XXXX, before the termination date of the contract, discharges it due to breach by the Exclusive Distributor, considering it finished, will forward written notice, from which time the Exclusive Distributor must:

XXXX pondrá los pedidos a disposición del Distribuidor en Exclusiva en un plazo máximo de 30 días a contar desde la recepción de la orden escrita.
XXXX pondrá a disposición del Distribuidor en Exclusiva cuantos materiales de apoyo fueren necesarios (muestras, folletos, catálogos…) para las actividades de distribución y comercialización de los productos en el territorio de que se trate.
XXXX garantiza al Distribuidor en Exclusiva que todos los productos objeto de este contrato reúnen todas las condiciones sanitarias requeridas para su posterior distribución.
Todos los daños causados por negligencia o manipulación defectuosa del Proveedor, o de quienes estuvieren asociados directa o indirectamente con él (a excepción del Distribuidor en Exclusiva), serán por cuenta del Proveedor.
No estarán incluidos los daños causados por negligencia o manipulación defectuosa del Distribuidor en Exclusiva o de los clientes a los que este venda los productos.
SEXTA. - Rescisión del contrato.
XXXX podrá rescindir este contrato en caso de que el Distribuidor en Exclusiva lo incumpla no alcanzando el mínimo de compras pactado, siempre y cuando la diferencia sea de aproximadamente un 10 % respecto de lo establecido en el Anexo II.
Asimismo, y con relación a las cifras establecidas en el Anexo II, el Distribuidor en Exclusiva también podrá rescindir este contrato en caso de que XXXX no sea capaz de cubrir los pedidos realizados por el Distribuidor en Exclusiva, pero únicamente cuando la diferencia sea de, aproximadamente, un 10 %.
Para rescindir este contrato por las causas arriba mencionadas, la parte que desee ponerle fin deberá enviar comunicado por escrito a la otra (…) MESES (__) antes de la finalización de cualquiera de los periodos anuales de vigencia del contrato.
Si se rescindiere el contrato por uno de estos motivos, ninguna de las partes tendrá derecho a cancelar o negarse a aceptar los pedidos cursados con anterioridad a la fecha de rescisión, los cuales continuarán vigentes y deberán seguir tramitándose conforme a lo aquí pactado hasta su completa terminación.
SÉPTIMA - Procedimiento para rechazar productos.
7.1 Con sujeción a lo dispuesto en la cláusula 7.2, si cualesquiera de los productos o sus partes fueren defectuosos o incumplieren las garantías de XXXX, el Distribuidor en Exclusiva tendrá derecho
a) a rechazar el producto (o una parte de este) y devolverlo a XXXX, siempre que ello se produzca dentro del periodo de garantía estipulado en la cláusula 13 b, y
b) a que XXXX, en un plazo máximo de 30 días a contar desde el rechazo o la devolución del producto, le envíe nuevos productos que sustituyan a los rechazados o devueltos.
7.2 El Distribuidor en Exclusiva pondrá en conocimiento de XXXX, tan pronto como le sea posible, cualquier sospecha acerca de productos o partes de estos que puedan ser defectuosos o incumplir las garantías de XXXX. Tras recibir la anterior comunicación, XXXX podrá requerir al Distribuidor en Exclusiva que adopte, a costa de XXXX, todas las medidas que siguen o una sola de ellas:
a. poner el producto en cuarentena asegurándose de que permanezca separado de los demás y
b. empaquetar y enviar una muestra del producto a un laboratorio elegido por XXXX para que sea sometido a pruebas y análisis independientes.
7.3 Si las partes aceptan el rechazo del producto por
a. no cumplir las especificaciones de fabricación,
b. no haber sido elaborado conforme el proceso debido,
c. haber existido negligencia por parte de XXXX o
d. haberse contaminado por un error de XXXX o por su negligencia a la hora de adoptar las acciones necesarias para evitar tal contaminación
XXXX tendrá la obligación, con relación a los productos rechazados, de reemplazar la parte afectada del producto o productos y de entregar las mismas cantidades, a su costa, al Distribuidor en Exclusiva.
OCTAVA. - Resolución en caso de incumplimiento contractual.
a) Incumplimientos por parte del Distribuidor en Exclusiva:
1. En caso de que XXXX, con anterioridad a la fecha de terminación del contrato, lo dé por terminado rescindiéndolo por incumplimiento del Distribuidor en Exclusiva, enviará a este comunicación escrita al respecto, y el Distribuidor en Exclusiva, una vez recibida, deberá:

Source text - English 2. DEFINITION OF RESEARCH & DEVELOPMENT EXPENSES
The term “Research & Development Expenses” shall mean those costs and expenses set forth and defined in Exhibit A, which may be amended from time to time and automatically into this agreement without a formal written amendment to the Agreement and all such costs and expenses as further defined from time to time by the parties.
The quality and quantity of chargeable research & development expenses related to each project are to be stated in Exhibit A to this agreement. The charging entities are responsible for the adjustments of the research & development expenses related to each research and development project once a year. The adjustments of the chargeable expenses shall be done within two months after the end of the business year (end of April) of the XXX group.
3. ACCUMULATION AND ALLOCATION OF RESEARCH & DEVELOPMENT EXPENSES
The research & development expenses shall be accumulated and allocated among the parties in accordance with the following methods and procedures (the “allocation methods”):
1. Each charging company maintains an activity based cost accounting system under which research & development expenses are accumulated in accordance with Generally Accepted Accounting Principles consistently applied and allocated to the lines of business based on an appropriate quantifiable measure supporting the activities performed in the cost centers.
2. The research & development expenses shall be charged to each XXX intragroup company (“receiving company”) which is entitled to use the results of the research & development activities provided by the charging companies. The allocation of the research & development costs shall be done in relation to the turnover of each intragroup company. If the charging company uses the results of the research & development activities for its own business activity, only the difference between the total research & development expenses and the allocated research & development expenses (in relation to the turnover of the charging company) will be chargeable to other XXX companies.
3. The charging of the research & development expenses shall be done on a monthly basis during the business year based on the research & development expenses and turnover figures in the annual budget for the XXX group.
4. After closing of the business year ending February 28, the charging companies will be responsible for necessary adjustments based on the actual figures of the last business year. These adjustments are to be made within two months after the end of the business year (end of April).
4. INVOICE AND PAYMENT
Research & development expenses will be invoiced by the charging companies on a monthly basis. Payments under this agreement shall be made to a bank account nominated by each charging company.
The charging fees are exclusive of VAT. The charging company is responsible for the clarification of the VAT treatment of the charging research & development expenses.
The compensation payable under this agreement by the receiving company to the charging company will be paid net of all withholding taxes. The company who is liable for the payment of the research & development expenses to the charging company is also liable for deducting any local withholding taxes and for transmitting of the withholding taxes to the local tax authority.

La expresión "costes de investigación y desarrollo" comprende a cuantos se hallen relacionados en el anexo A.
Estos costes podrán ser modificados posteriormente por las partes sin necesidad de acuerdo formal al respecto, en cuyo caso tales modificaciones tendrán eficacia inmediata y se entenderán comprendidas en esta definición.
La cantidad y la calidad de los costes de investigación y desarrollo exigibles en cada proyecto que se lleve a cabo se fijarán en el anexo A de este Contrato. Las compañías acreedoras deberán actualizar los costes de investigación y desarrollo correspondientes a cada proyecto de investigación y desarrollo una vez al año. La actualización de los costes repercutibles deberá hacerse dentro de los dos meses siguientes a la finalización del ejercicio social del grupo XXX (finales de abril).
3. AGREGACIÓN Y DISTRIBUCIÓN DE LOS COSTES DE INVESTIGACIÓN Y DESARROLLO
Los costes de investigación y desarrollo serán agregados y distribuidos entre las partes según los métodos y procedimientos que siguen (métodos de distribución):
1. Cada compañía acreedora deberá utilizar un sistema de contabilidad de costes basado en las actividades que lleven a cabo que permita agregar los costes de investigación y desarrollo de acuerdo con los Principios de Contabilidad de General Aceptación. Estos principios se aplicarán de forma constante y servirán para distribuir los costes entre las distintas líneas de negocio en atención a una unidad de medida cuantificable que resulte adecuada y que refleje las actividades desarrolladas por los centros en los que se originan los costes.
2. Los costes de investigación y desarrollo se imputarán a las compañías del grupo XXX (compañías beneficiarias) que tengan derecho a utilizar los frutos de las actividades de investigación y desarrollo llevadas a cabo por las compañías acreedoras. La distribución de los costes de investigación y desarrollo deberá hacerse en atención al volumen de ventas de cada una de las compañías del grupo afectadas. Si la compañía acreedora utiliza a su vez los frutos de las actividades de investigación y desarrollo en su propia actividad empresarial, únicamente podrá imputar a cualesquiera otras compañías del grupo XXX la diferencia entre los costes de investigación y desarrollo totales y los que ella misma tenga que soportar (y estos últimos se calcularán según el volumen de ventas de la compañía acreedora).
3. Los cargos correspondientes a los costes de investigación y desarrollo se realizarán de forma mensual a lo largo del ejercicio social de que se trate en atención a los costes de investigación y desarrollo y a las cifras de negocio que figuren en el presupuesto anual del grupo XXX.
4. Tras el cierre del ejercicio social (el 28 de febrero), y a la vista de las cifras reales que resultaren del ejercicio social finalizado, las compañías acreedoras deberán llevar a cabo cuantas actualizaciones fueren necesarias. Estas actualizaciones deberán realizarse en un plazo máximo de dos meses a contar desde la finalización del ejercicio social (hasta finales de abril).
4. FACTURACIÓN Y PAGO
Las compañías acreedoras facturarán los costes de investigación y desarrollo de forma mensual.
Cada una de las compañías acreedoras deberá designar una cuenta bancaria en la que deberán realizarse los pagos regulados por este Contrato.
Las cantidades a pagar no incluyen el IVA. La empresa acreedora deberá llevar a cabo las actuaciones necesarias para averiguar el tratamiento que reciben los costes repercutibles de investigación y desarrollo en materia de IVA.
La compañía beneficiaria tendrá la obligación de descontar de la cantidad que en virtud de este Contrato deba pagar a la compañía acreedora el importe correspondiente a las retenciones fiscales que deba practicar. La compañía responsable del pago de los costes de investigación y desarrollo asume la obligación de deducir de la cantidad a pagar las retenciones fiscales de carácter local que fueren pertinentes y de transferirlas a la autoridad tributaria local.

This Cretan myth was notable enough to be cited by Theophrastus in his treatise On Love, mentioned by Strabo (X.4.12) but now lost. Theophrastus was in a good position to appreciate a good pederastic myth, as he was the friend and successor of Aristotle (himself a chaste pederast), and the erastes of Nicomachus, Aristotle’s son and the eponymous dedicatee of his father’s work, Nicomachean Ethics. Strabo recounts the trial of retrieving the dog from Prasus to Lebena. In his version the beloved is Leucocomas and the lover Euxynthetus.
A crucial bit of information comes from Plutarch, albeit indirectly. In his Amatorius (20) Plutarch brings up the fact that, “neither does Jupiter surnamed the Hospitable so severely prosecute injuries done to strangers and suppliants, nor is Jupiter Genitalis so rigorous in accomplishing the curses of parents disobeyed, as Eros is to listen to the complaints of injured lovers; being the scourger and punisher of proud, illnatured, and illbred people.” Then Plutarch mentions as an example a couple from Cyprus, also named Euxynthetus and Leucocomas, a man and a woman this time. It seems likely that one story inspired the other, the theme being the same, that of a proud or illnatured person taking advantage of their
lover.
This kinship between the stories, despite the differences of gender and location, was originally recognized by J. J. Winckelmann. It is likely the story of the man and the boy came before that of the man and the girl, since the sources for the pederastic version predate Plutarch, in Theophrastus’s case by close to four hundred years. That distinction, however, does not matter much. The Greeks were evenhanded about such things, for Plutarch proceeds to assert that “the attractions that make men amorous may as well proceed from women as from boys.” The importance of Plutarch’s version in the present retelling is that by introducing the god Eros into the plot it provides the “deus ex machina” moment, the divine force that rules the ambit and restores justice, an essential feature of every myth.

2.1 XXX shall install, configure, customize, integrate and test the Loan Origination System

2.2 XXX shall install the Loan Origination System in Object Code on the COMPANY server for COMPANY's testing and approval.
2.3 XXX shall provide technical assistance to COMPANY during acceptance testing.
2.4 COMPANY shall accept the Loan Origination System according to the
Acceptance Procedure defined in Exhibit D.
3. RIGHTS AND RESPONSIBILITIES OF XXX
3.1 XXX shall be responsible for establishing development methodologies, conducting facts and requirements gathering and analysis, evaluating the possibility of incorporating Loan Origination System into the current IT and business system and for the provision and supervision of the services of experienced and competent personnel to carry out the said obligations.
3.2 XXX shall designate qualified representatives who shall attend at regular meetings scheduled as agreed by the Parties from time to time for the purpose of exchanging information at both a business and technical level and coordinating and scheduling
such activities as may be necessary or desirable in connection with the integration of the Loan Origination System.
3.3 XXX hereby promises to keep Confidential Information of COMPANY in strict confidence and shall not make use of such Confidential Information for any purpose other than in connection with the Agreement.
3.4 Notify COMPANY if disclosure of COMPANY’s Confidential Information by XXX is necessary to comply with the requirements of any law, government order, regulation or legal process prior to such disclosure and COMPANY’s request use commercially
reasonable efforts to seek an appropriate protective order in connection with such legal process and, if unsuccessful, to use commercially reasonable efforts to assure that confidential treatment will be accorded to the disclosed Confidential Information;
4. RIGHTS AND RESPONSIBILITIES OF COMPANY
4.1 At all times during the integration, COMPANY shall ensure the prompt and efficient cooperation of all of its personnel, provide access to its business records and information and, provide appropriate facilities such that XXX is in no way hindered from efficiently performing its obligations hereunder.
Translation - Spanish 2. PLAN DE TRABAJO
2.1 XXX deberá instalar, configurar, personalizar, integrar y probar el Sistema de Concesión de Préstamos siguiendo las Especificaciones Funcionales y el Plan de Desarrollo.
2.2 XXX deberá instalar el Sistema de Concesión de Préstamos, en Código Objeto, en el servidor de la SOCIEDAD para que esta pueda probarlo y mostrar su conformidad con este.
2.3 XXX deberá prestar asistencia técnica a la SOCIEDAD durante el periodo de pruebas que precederá a la aceptación del producto.
2.4 La SOCIEDAD deberá aceptar el Sistema de Concesión de Préstamos de conformidad con el Procedimiento de Aceptación descrito en el Anexo D.
3. DERECHOS Y RESPONSABILIDADES DE XXX
3.1 XXX deberá establecer métodos de desarrollo, recopilar y analizar datos y requisitos, estudiar la posibilidad de incorporar el Sistema de Concesión de Préstamos al sistema informático comercial utilizado por la SOCIEDAD y proveer y supervisar los medios personales (integrados por personas competentes y con experiencia) que se encarguen de cumplir con estas obligaciones.
3.2 XXX deberá elegir representantes debidamente cualificados para que asistan a las reuniones ordinarias que periódicamente se celebren conforme a lo planificado por las Partes al objeto de intercambiar información de tipo técnico y comercial y coordinar y programar actividades tanto técnicas como comerciales que sean necesarias o aconsejables en relación con la integración del Sistema de Concesión de Préstamos.
3.3 XXX se compromete a respetar la confidencialidad de la información de la SOCIEDAD que tenga tal carácter y a no utilizar tal información confidencial para fines que no guarden relación con este Contrato.
3.4 XXX deberá comunicar a la SOCIEDAD cualquier divulgación de su información confidencial que deba realizar como consecuencia de lo establecido en una ley, una orden gubernamental, una norma o un procedimiento legal con carácter previo a llevarla efectivamente a cabo y, en el supuesto de proceso legal, a petición de la SOCIEDAD, dedicar razonables esfuerzos comerciales a conseguir una orden de protección adecuada y, si tal orden no prosperase, a conseguir que la información confidencial divulgada sea tratada de forma confidencial.
4. DERECHOS Y RESPONSABILIDADES DE LA SOCIEDAD
4.1 Durante el proceso de integración, la SOCIEDAD deberá garantizar la rápida y eficiente cooperación de su personal, dar acceso a su información comercial y registros comerciales y proporcionar los medios adecuados para que XXX no se vea en modo alguno obstaculizado en el cumplimiento eficiente de sus obligaciones dimanantes de este Contrato.

Source text - English 1 Engagement of XXX SA
The Subsidiary hereby engages XXX SA to render services in the areas specified below throughout the terms of this agreement. The Subsidiary hereby asks XXX SA to perform these services on a continuing basis without any further request.
2 Services
During the term of this agreement subject to the terms and conditions stated herein, XXX SA will perform certain services in the interest of the Subsidiary. A summary of the type of services which may be performed by XXX SA is shown in Annex 1 of this agreement.
3 Fees
1) In consideration of the services to be rendered by XXX SA under this agreement the Subsidiary agrees and undertakes to pay a service fee to XXX SA; provided that XXX SA should add substantial values to the services for the purpose of corporate tax. The amount of the service fee is determined by each Subsidiary's share in the aggregate amount of costs which XXX SA incurs in providing specific and non specific services to all Subsidiaries of XXX SA and the costs linked to the operational business of XXX.
Each Subsidiary's share in the aggregate amount of costs that is subject to allocation is computed in accordance with the conditions set out below.
2) The aggregate amount of costs that is subject to allocation under this agreement shall be computed as follows:
In accordance with generally accepted accountancy principles XXX SA shall add up all direct and indirect costs incurred in rendering services to the Subsidiary and the operating costs at the level of XXX SA, including, but not restricted to all costs of personnel, travel and equipment, all expenses paid to third parties and all overhead expenses.
To these costs shall be added a mark up of 5%.
3) The following costs allocation key shall be applied for allocating to each Subsidiary its share of the cost as calculated according to the conditions under paragraph 3b.
a) The share of Subsidiary in the costs shall be determined by reference to with respect to specific services
aa) costs incurred within the relevant field of activity of XXX SA on specific services provided to Subsidiary;
with respect to non specific services listed in Annex 1, but excluding the services listed in Annex 2 an 3
bb) net sales, meaning the aggregate amount of Subsidiary's sales net of returns, discounts and transportation costs;
with respect to non specific services listed in Annex 2
cc) financing needs under the syndicated loan as requested by each Subsidiary. with respect to non specific services listed in Annex 3
dd) number of employees of each Subsidiary.
b) The share of the costs of each Subsidiary is the aggregate of the following:
aa) Each Subsidiary's share in the cost attributable to the entire amount of costs including the aforementioned mark-up which XXX SA has incurred on specific services; the costs of the specific services attributable to Subsidiary are determined pro-rata of the time spent by the staff involved in rendering such services plus other costs incurred directly in relation to the specific service.
bb) Each Subsidiary's share in the costs incurred within the different fields of activities, attributable to non-specific services excluding those listed in Annex 2 and 3, is determined by;
the sum of the net sales of Subsidiary divided by the overall net sales of all Subsidiaries, multiplied with the entire amount of XXX SA's non specific costs (excluding those listed in Annex 2 and 3) including the aforementioned markup;
cc) Each Subsidiary's share in the costs incurred within the activity listed in Annex 2, is determined by the financial needs as requested by each Subsidiary, financed by the overall credit line of the XXX Group, multiplied with the entire amount of XXX SA's non specific costs within the activity listed in Annex 2 including the aforementioned mark-up.
dd) Each Subsidiary's share in the costs incurred within the activity listed in Annex 3, is determined on the basis of the number of employees of each Subsidiary divided by the total number of employees of all Subsidiaries, multiplied with the entire amount of XXX SA's non specific costs within the activity listed in Annex 3 including the aforementioned mark-up.
4 Invoice and payment
Fees shall be invoiced by XXX SA on a half year basis as of the end of each fiscal year, i.e. end of February (to be further determined). If a material difference would exist in closing the books after year end, such a difference shall be invoiced during the first quarter of the following year.
XXX SA shall send to the Subsidiary all information and documentation which are needed for the purpose of corporate tax and withholding tax.
The compensation to be paid under this agreement by the Subsidiary to XXX SA will be paid net of all withholding taxes.
Fees are exclusive of VAT.In case VAT is due on top of the compensation it will be borne by the Subsidiary.
Payments under this agreement shall be made to a bank account nominated by XXX SA.
Translation - Spanish 1 Contratación de XXX SA
La filial contrata a XXX SA para que le preste servicios en las áreas abajo especificadas durante la vigencia de este contrato. La filial interesa de XXX SA la prestación de tales servicios de forma continua sin necesidad de ulteriores requerimientos.
2 Servicios
Por la duración de este contrato, y de conformidad con las estipulaciones aquí establecidas, XXX SA prestará servicios en interés de la filial. En el Anexo 1 aparece un resumen del tipo de servicios que se podrán prestar en virtud de este contrato.
3 Cuotas
1) En contraprestación por los servicios que de conformidad con este acuerdo habrá de prestarle XXX SA, la filial se compromete a pagar a esta una cuota de servicio; y ello por el sustancial incremento en el valor de los servicios que, a efectos del impuesto de sociedades, la gestión de XXX SA debería originar. La cuantía de la cuota de servicio se determinará en función de a) la participación de la filial en los costes agregados soportados por XXX SA por la prestación de servicios específicos e inespecíficos a sus filiales y b) los costes asociados con la actividad de XXX.
La cuota de participación de cada filial en los costes agregados distribuibles se calculará conforme a las condiciones abajo expuestas.
2) La cantidad agregada de costes distribuibles con sujeción a este contrato se calculará de la siguiente manera:
Conforme a principios de contabilidad generalmente aceptados, XXX SA sumará todos los costes, tanto directos como indirectos, experimentados como consecuencia de la prestación de servicios a la filial y les añadirá los costes de funcionamiento que XXX SA hubiese tenido que soportar como consecuencia de tal actividad, los cuales comprenderán, entre otros, todos los relacionados con trabajadores, viajes y equipamiento, todos los derivados de pagos a terceros y todos los gastos generales.
Se añadirá una comisión del 5 % a estos costes.
3) Para la atribución, de conformidad con las condiciones estipuladas en el párrafo 3b, de una porción de los costes a cada una de las filiales, se aplicarán los siguientes criterios:
a) La cuota de costes de la filial se determinará, con relación a servicios específicos, teniendo en cuenta los siguientes criterios:
aa) costes soportados por XXX SA por la prestación de servicios específicos a la filial dentro del campo de actividad de XXX SA;
con relación a los servicios no específicos que aparecen en el Anexo 1, pero sin incluir a los que aparecen en el Anexo 2 y 3
bb) volumen neto de ventas, entendido como el volumen total de ventas de la filial menos las devoluciones, los descuentos y los gastos de transporte;
con relación a los servicios no específicos que aparecen recogidos en el Anexo 2
cc) necesidades de financiación de cada filial cubiertas por el préstamo sindicado
con relación a los servicios no específicos que aparecen recogidos en el Anexo 3
dd) número de trabajadores de cada filial.
b) La cuota de costes de cada filial consiste en la suma agregada de:
aa) La contribución de cada filial en la suma total de costes, con inclusión de la comisión arriba mencionada, derivados de la prestación de servicios específicos por parte de XXX SA. El coste por servicios específicos imputable a la filial se determinará en atención a las horas de trabajo que hubieren sido necesarias para la prestación de estos, y a esta cantidad se le sumarán otros costes directamente relacionados con la prestación de los servicios específicos.
bb) La contribución de cada filial en los costes derivados de diferentes ramas de actividad por servicios no específicos, con exclusión de los que aparecen recogidos en los Anexos 2 y 3, se determinará
dividiendo la cifra de ventas netas de la filial por la cifra de ventas netas globales de todas las filiales y multiplicando después el resultado por la cantidad total de costes no específicos de XXX SA, con exclusión de los que aparecen en los Anexos 2 y 3 e incluyendo la comisión antes mencionada
cc) La participación de cada filial en los costes derivados de las actividades que aparecen en el Anexo 2 se determinará multiplicando las necesidades de financiación requeridas por cada filial —siempre que estas hubieren sido provistas por la línea de crédito del grupo XXX— por la cantidad total de costes no específicos soportados por XXX SA con motivo de las actividades que aparecen en el Anexo 2, incluyendo la comisión antes mencionada.
dd) La participación de cada filial en los costes derivados de las actividades que aparecen en el Anexo 3 se determinará dividiendo el número total de trabajadores de cada filial por el número total de trabajadores de todas las filiales y multiplicando la cifra resultante por la cantidad total de costes no específicos soportados por XXX SA con motivo de las actividades que aparecen en el Anexo 3, incluyendo la comisión antes mencionada.
4 Facturación y pago
XXX SA facturará las cuotas cada seis meses a contar desde la terminación de cada año fiscal, por ejemplo, a finales de febrero (a concretar en un momento posterior). Si al cierre de la contabilidad anual se observare una diferencia material en los libros, la cantidad adeudada será facturada durante el primer trimestre del año siguiente.
XXX SA deberá enviar a la filial toda la información y documentación necesarias para el impuesto de sociedades y las retenciones fiscales.
La compensación que conforme a este acuerdo deba pagar la filial a XXX SA se abonará una vez descontadas todas las retenciones fiscales.
Las cuotas a pagar no incluyen el IVA. Cuando a la cuota debida deba añadirse el pago del IVA, este correrá a cargo de la filial.
Los pagos que deban hacerse en virtud de este contrato se abonarán en la cuenta bancaria designada por XXX SA.
