Subject to the terms and conditions set forth herein, on the execution of this Agreement, the Sellers shall irrevocably and unconditionally transfer to the Purchaser and the Purchaser shall receive from the Sellers the 50% of the Charter Capital of the Company (the “Transferred Capital”) free and clear from any options, equities, liabilities, claims, potential claims, mortgages, pledges, security deposits, escrowed deposits, collaterals, liens or any encumbrances (the “Transfer”).
Without limiting the foregoing, prior to, on and after the date of this Agreement, each party hereto shall cooperate with the other party, and without any further consideration, execute and deliver, or use its reasonable best efforts to cause to be executed and delivered, all instruments, including instruments of conveyance, assignment and transfer, and to make all filings with and to give all notices to, and to obtain all consents, approvals or authorizations of, any governmental authority or any other person under any permit, license, agreement, indenture or other instrument (including any consents or government approvals), and take all such other actions as such Party may reasonably be requested to take by any other Party hereto from time to time, consistent with the terms of this Agreement, in order to effectuate the provisions and purposes of this Agreement and the transfer of the Equity Interest, contemplated hereby.

In conclusion, the Review Consultant’s assessment of the Interim Report for hydrology and drainage are necessarily brief and without much detail due to the lack of information and design detail and guidelines provided for these subjects in the Interim Report. For hydrology, the information given is mostly correct, but there is a number of additional information required. In contrast, the Review Consultant considers the drainage guidelines presented in the Interim Report to be very substandard and must be reviewed in total and revised as necessary. In view of this, the Review Consultant has identified the above specific information missing, and other deficiencies; and has recommended that more detailed information (particularly the submittal of typical sections /designs for drainage) be provided subsequently for the Draft Final Feasibility Study.

If a Board Member (including the Chairman) is unable to attend any Board Meeting, he may appoint a proxy (including another Board Member) in writing to attend in his place and represent him at such meeting. Every instrument of appointment shall be sent or delivered to the Chairman and the Board Secretary at the Legal Address of the Company prior to the commencement of such meeting.
